This is a legal agreement ("the Agreement") between you, SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com. This Agreement pertains to your use of the SeeByPC and Live Video Connector software, technology, programs, documentation and updates, which are provided to you by SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com (collectively, the "Software"). This Agreement also pertains to the services that are available to you by using the Software (the "Services"). Carefully read the terms and conditions below. If you do not agree to the terms of this Agreement, DO NOT use the sites or any of the content. Should you use any of our sites and content, it is deemed that you accept all of the Terms of Use.
This Agreement grants you a non-exclusive, non-transferable, non-sub licensable right to use the Software for your personal and business use. SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com reserves all rights in the Software not expressly granted herein, including without limitation ownership and proprietary rights.
RESTRICTIONS
You may not reproduce or distribute the Software for any purpose whatsoever. Without limiting the foregoing, you may not copy the Software to any server or location for reproduction or distribution. You may not reverse engineer, decompile or disassemble the Software. The restrictions contained herein apply equally to any updates that may be provided to you by SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com.
The Sites contain information that are proprietary to our users and us. We assert full copyright protection in the Software/Sites. Information posted by us or users of the Software/Sites may be protected whether or not it is identified as proprietary to us or to the users. You may not modify, copy or distribute any such information in any manner whatsoever without having first received the express written permission of the owner of such information and nothing in this Agreement shall grant you the license to use such Marks. All intellectual property rights in the Software and Services, including without limitation all computer code, audio, graphics, multimedia, images, sounds, and text incorporated into the Software or Services, are owned exclusively by NetVisionNetwork.com and are protected by United States copyright laws and international copyright treaty provisions. Any violation of the terms set forth herein is expressly prohibited by law and may result in severe civil and criminal penalties. Additionally, other marks that appear on SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com web sites may belong to third parties that are not affiliated with SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com. Links available on the web site may enable you to leave the SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com.com sites. SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com does not control or endorse the content of third party web sites. The linked sites are not under the control of SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com, SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com is not responsible for the contents of any linked site or any link contained in a linked site, or any changes or updates to such sites. You are responsible for taking precaution to ensure that whatever you select for your use, whether on SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com web sites or the sites of third parties, is free of viruses, worms, Trojan horses, and other items of a destructive nature.
WARRANTIES
SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com does not warrant the software will be uninterrupted or error-free and distributes it on an "as is" basis. There may be delays, omissions, and interruptions in the availability of the Software. SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com, including its officers, directors, agents, subsidiaries and employees is not responsible for any incorrect or inaccurate content, services and software in connection with the SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com, whether caused by users, or by any of the equipment or programming associated with or utilized in the service, nor for the conduct of any user of the SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com software/sites whether online or offline. SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com assumes no responsibility for any error, omission, interruption, deletion, defect, or delay in operation or transmission.
INDEMNITY
You agree to indemnify our officers, directors, employees and agents, from any loss or damages, including without limitation, reasonable legal fees, which we may suffer from activities on or use of the Software/Sites, including without limitation any breach by you of this Agreement or any charges or complaints made by other parties against you. You shall cooperate as fully as reasonably required in the defense of any claim. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you; provided, that you shall remain liable for any such claim.
NON-RESPONSIBILITY
In no event will SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com be liable to you or any third person for any indirect, consequential, exemplary, incidental, special or punitive damages, including lost profits arising from your use of the Software/Sites. Notwithstanding anything to the contrary contained herein, SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com has no liability to you for any cause whatsoever, regardless of the form of the action.
POSTING OF CONTENT
As provided under the Communications Decency Act for Content provided by third parties and members, SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com claims immunity from liability to the fullest extent under the law, and nothing in this agreement is intended to waive, remove, or usurp such immunity. By using this site you agree that SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com may delete any content, messages, photos or profiles that in their sole judgment violate the Terms of Use or which might be offensive, illegal, or might violate the rights, harm, or threaten the safety of SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com and/or its users. You must use SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com software/sites in a manner consistent with any and all applicable laws and regulations. You agree that you will not use any robot, spider, or other electronic device or manual process to monitor or copy our web pages or the content contained herein without our prior expressed written permission. You agree that you will not use any device, software or routine to bypass or to interfere or attempt to interfere with the workings of any SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on our infrastructure. You agree not to distribute, promote or otherwise publish any material containing any solicitation for funds, advertising or solicitation for goods or services. You agree not to distribute or up load any virus or do anything else that might cause harm to the site or to other systems in any way.
TERMINATION
SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com reserves the right to terminate this Agreement and your use of the Software and Services at any time and for any reason or no reason at all. You may terminate this Agreement at any time simply be ceasing to use the Software and Services. The provisions contained herein shall survive termination of this Agreement.
MISCELLANEOUS
These Terms of Use constitute the entire Agreement of the parties and supersede any and all prior and contemporaneous agreements of the parties relating to the subject matter. If any provision of these Terms of Use is determined to be invalid or unenforceable, then such invalidity or unenforceability shall not have any effect on any other provision of these Terms of Use, all of which shall remain in full force and effect. These Terms of Use are governed by and shall be interpreted in accordance with the laws of the State of Nevada, without regard to any choice of law provisions. You hereby consent to the exclusive jurisdiction and venue of courts in Clark County, Nevada, U.S.A., regarding any and all disputes relating to these Terms of Use, use of this Software/Site or any NetVisionNetwork Site. Services. If any provision of this Agreement is held invalid, the remainder of this Agreement will continue in full force and effect. Failure by SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com may assign its rights and duties under this Agreement to any party at any time without notice to you.
MODIFICATIONS OF AGREEMENT
SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com may modify this Agreement at any time without providing notice to you. Such modification will be made by posting a revised agreement on its web site and such modification shall be deemed effective immediately upon posting of the modified Agreement. Your continued access or use of the Software or Services shall be deemed your acceptance of the modified Agreement. You agree to check our web site periodically to review such modifications.
TERMINATION OR MODIFICATIONS OF SOFTWARE OR SERVICES
NetVisionNetwork.com in their sole discretion may terminate or suspend your access to all or part of the Site at any time, with or without notice, for any reason. SeeByPC.com, LiveVideoConnector.com and NetVisionNetwork.com reserves the right to modify the Software or Services.
